Article
II PURPOSE
Section 1- This benevolent, charitable and eleemosynary institution has been organized and is incorporated under the Maine Nonprofit Corporations Act and shall be operated exclusively for charitable, educational, or literary purposes within the meaning of ss.501(c)(3) of the U.S Internal Revenue Code of 1986 (the “Code”0 as the same may be amended from time to time. Within these purposes, the purposes of the Corporation shall include (but not by way of limitation) the promotion and fostering of increased literacy in Sagadahoc, Lincoln. and Northeastern Cumberland counties through volunteer teaching nonreaders and low level readers eighteen years of age or older; to encourage and aid individuals, groups or organizations desiring to increase literacy through voluntary programs; to receive, invest and disburse funds; and to hold property for the purposes of the organization.
Section 2 – This organization shall have no capital stock, its objective and purpose being solely of a charitable, literary and educational character and not for individual pecuniary gain or profit to its members. No part of the income or assets of this organization shall inure to the benefit of any private individual or member. This shall not prohibit payments to individuals for services received or assets purchased
Section 3 – No substantial part of the activities of the organization shall consist of carrying on propaganda and no part of its activities shall consist of intervening (including the publishing and distributing of statements) in any political campaign in behalf of any candidate for public office.
Section 4 – Basic to the philosophy of the organization is the concept that each person, prospective student and volunteer, is of equal worth. The organization, as an affiliate of ProLiteracy of America, Inc., and LV – Maine, will recruit, train, supervise and support volunteer tutors using the professional teaching techniques.
Section 5 – If this Corporation be dissolved or its legal existence terminated, either voluntarily or involuntarily, or upon final liquidation of the Corporation, none of its assets shall inure to the benefit of any Member, Director, Officer, or private individual, and all of its assets remaining after payment of all of its liabilities shall be distributed by affirmative vote of the Directors exclusively to:
a. One or more nonprofit organization or organizations which may have been created to succeed the Corporation, as long as such organization, or each of such organizations, shall then qualify as an organization exempt from federal income taxation under ss.501(a) of the Internal Revenue Code of 1986 as an organization described in ss.501(c)(3) of such Code, as amended, and as a charitable, religious, eleemosynary, benevolent or educational corporation within the meaning of Title 13-B, of the Maine Revised Statues as amended; and/or
b. ProLiteracy of America, Inc. and/or LV – Maine, as long as such organization shall then qualify as an organization exempt from federal income taxation under ss.501(a) of the Internal Revenue Code of 1986 as a charitable, religious, eleemosynary, benevolent or educational corporation within the meaning of Title 13-B, of the Maine Revised Statutes as amended; and/or
c. One or more nonprofit organization or organizations having similar aims and objects as those of the Corporation and which may be selected as an appropriate recipient of such assets, as long as such organization, or each of such organizations, shall then qualify as an organization exempt from federal income taxation under ss.501(a) of such Code as an organization described in ss.501(c)(3) of such Code, as amended, and as a charitable, religious, eleemosynary, benevolent or educational corporation within the meaning of Title 13-B, of the Maine Revised Statutes as amended.
In the event the assets of the Corporation are not so distributed said assets shall be distributed by a court of competent jurisdiction in the county where the principal office of the Corporation is located as a nonprofit organization or organizations having similar aims and objects as the Corporation and which may be selected as an appropriate recipient of such assets as long as such organization, or each of such organizations, shall then qualify as an organization exempt from federal income taxation under ss.501(a) of such Code as an organization described in ss.501(c)(3) of such Code, as amended, and as a charitable, religious, eleemosynary, benevolent or educational corporation within the meaning of Title 13-B of the Maine Revised Statutes as amended.
