Article
III – MEMBERSHIP
Section 1 – Tri-County Literacy Volunteers recognizes its responsibility to comply with applicable statues or regulations governing nondiscrimination. This affiliate does not discriminate on the basis of race, age color, national origin, sex, religion, political belief, sexual orientation, or physical or mental disability in admission to, access to, or employment in its programs and activities.
Inquiries concerning the application of nondiscrimination policies may also be referred to the Regional Director, Officer for Civil Rights, U.S. Department of Education, J. W. McCormack POCH Room 222, Boston, MA 02109-4557.
Section 2 – The membership shall consist of all volunteers who have successfully complete the Literacy Volunteer’s Tutor Training program and/or who support the program and who pay annual dues.
Section 3 – The annual dues shall be set by the Board of directors prior to the Annual Meeting and cover the ensuing fiscal year. These dues shall be mandatory for membership.
Section 4 – Each member of the organization shall be entitled to one vote. The Members shall have all the voting rights set forth in the Articles of Incorporation, these Corporate Bylaws, or under Chapter 6 of Title 13-B.M.R.S.A. These rights include:
d. The election of Directors.
e. The removal of Directors.
f. The changing of the number of Directors constituting the Board of Directors within the limitations prescribed herein.
g. The approval of the sale, mortgage, lease, or other disposition of all, or substantially all, of the assets and property of the Corporation, the dissolution of the Corporation, or its merger with or consolidation into another corporation.
h. Either the election of Members, or the authorization of the Chairperson to appoint Members, to serve on a nominating committee pursuant to Article VIII, Section 3 of these Corporate Bylaws.
i. Any other matter that the Directors vote to submit to the Members.
